War Room · Business Value & Exit Readiness X-Ray · Sandbox 7.4

Is your business building your wealth—or just funding your lifestyle?

You've built a successful company. But would the money you walk away with fund the life you've worked for? And what could one to three years of improvements change?

A business should work for you today—and be transferable tomorrow. This is not a formal business valuation or buyer offer.

WAR CHEST / Business Value / Exit

Is my business building my wealth—or just funding my lifestyle?

An independent valuation and transferability assessment could turn your business into a more useful investment, even if you decide never to sell.

Practical Example

MEET PAPA JOE / A FICTIONAL EXAMPLE

Build a business someone else can run—and value.

Papa Joe wants the years of work to create future choices. He tests whether a sustainable earnings improvement might justify the effort and cost before assuming a buyer will pay for it.

THE STARTING POINT

No improvement: incremental proceeds $0.

THE POSSIBILITY TO TEST

Test $20,000 higher transferable annual profit at 3× earnings.

ILLUSTRATIVE POTENTIAL / SALE AFTER ONE IMPROVEMENT CYCLE$35,000

Potential net incremental sale proceeds

Conditional business value. This is one hypothetical comparison, not a promised improvement.

See the napkin math and what could change the outcome

The assumptions

Incremental gross price $20,000 × 3 = $60,000; assumed 25% sale tax leaves $45,000. Subtract $10,000 total improvement cost = $35,000. 100% ownership assumed.

The trade-offs

Requires buyer-validated sustainable earnings. Existing business value not counted as new wealth. No interim extra profit or multiple expansion added; costs include assumed transaction expense. Actual tax and cost can differ.

A profitable business isn't necessarily a valuable investment.

01 · LifestyleWhat must the business deliver?

Translate your family's retirement spending into capital you would need at exit.

02 · TransferableWould an outside buyer see the value you see?

Owner dependence, customer concentration, transparent earnings and management matter.

03 · ChoiceExit now or improve first?

Compare present estimated proceeds with future earnings and buyer-ready improvements.

ⓘ Why isn't revenue the sale price?

Many lower-middle-market deals reference normalized EBITDA and a negotiated valuation multiple. Debt, available cash, working capital, owner interest, deal terms, tax and fees all affect actual owner proceeds. Some industries use other approaches.

SBA business buying diligence

ⓘ What is value acceleration?

Build a better company first: more sustainable profit, a stronger team, lower dependence on the owner and financials a buyer can verify. These changes could create better options even if the owner never sells.

Could your business fund your next chapter?

Start with the numbers you probably already know. We'll test what the company might need to produce.

Could someone run it without you?

The Private Equity Exit Readiness review is included here. Five short questions examine management independence, customer concentration, verifiable financial records, durable revenue and transferable operations. Answer verified, not yet, or uncertain.

Deeper analysis — EBITDA, deal terms and value acceleration assumptions

Model a plausible case, not an assumed market price. Change the earnings and valuation assumptions after an independent valuation or quality-of-earnings review.

What could 1–3 years change?

ⓘ Strategic buyer vs private equity

Strategic acquirers may look for synergies, customers, technology or geographic reach. Private-equity sponsors may prioritize repeatable cash flow, management depth, leverage capacity and future growth. Eligibility, valuation and structure require actual buyer and deal-market diligence.

The fair test: We compare hypothetical selling today and investing the proceeds with operating and improving the business for the same 1–3 years. Neither path includes speculative transaction synergies or guaranteed buyer premiums.
